General Terms and Conditions (G.T.C.)

Article 1: Application

EKGAMER.MA presents its general terms and conditions to its Clients, which apply automatically to all current and future sales. The Client expressly agrees that these terms take precedence over the Client's own general or specific purchasing conditions. These terms can only be modified or supplemented by an amendment accepted by EKGAMER.MA.

Article 2: Disclaimer and Responsibility

Since EKGAMER.MA is a professional reseller, it is the sole responsibility of the Client to rely on internal expertise or third-party specialists to determine requirements, define specifications, choose suitable hardware and software based on technical features, and ensure compatibility with the intended environment.

As a professional hardware reseller, the Client is considered sufficiently knowledgeable to approach EKGAMER.MA without requiring the typical advisory role of an IT supplier. The Client waives any obligation for EKGAMER.MA to provide warnings or guidance and is responsible for requesting and reviewing technical documentation.

EKGAMER.MA operates strictly as a hardware seller, not a service or consulting company. The only obligation of EKGAMER.MA, which the Client acknowledges and accepts, is the supply of ordered IT products. Any additional services must be formally agreed upon and signed by both parties.

Article 3: Orders

3.1 Order Processing

Orders are placed based on EKGAMER.MA’s current catalog, through which the Client reviews and accepts these terms.

Orders are accepted either through:

• Delivery of Products, according to the details in issued invoices.

• Formal Order Confirmation, where EKGAMER.MA specifies the terms and acceptance conditions.

Due to legal regulations, obvious errors, rapid technological changes, or stock availability, EKGAMER.MA reserves the right to modify an order, ensuring replacements are equivalent in technology and price when possible. The Client has two (2) calendar days to reject modifications after receiving a revised order confirmation—otherwise, the changes are considered accepted.

Article 4: Deliveries

Delivery delays do not result in penalties for the Client. Once delivered, the Client assumes all risks related to loss, damage, or liability.

Delivery timelines are indicative estimates based on average expected delays and may vary. Orders can be shipped in multiple installments.

In case of damages, missing items, or non-compliant delivery, the Client must immediately record issues on the delivery receipt and formally confirm concerns on the same day. After this period, the Client cannot contest the delivery.

Article 5: Services

EKGAMER.MA is not obligated to provide installation, setup, or configuration services for purchased products. If requested by the Client, these services are strictly limited to hardware sold by EKGAMER.MA and do not cover software solutions. Such services are billed at agreed rates.

Article 6: Warranty and Returns

6.1 Warranty

The only warranty provided by EKGAMER.MA is the one issued by each manufacturer.

EKGAMER.MA is not liable for indirect damages, including loss of production, operational downtime, financial losses, data loss, or business disruptions arising from product defects.

Warranty does not cover issues arising from:

• Improper or prolonged storage without protection.

• Negligence, incorrect handling, or usage outside the specifications outlined in the product manual.

• Adding unauthorized accessories or components.

• Modifications or alterations made by third parties.

6.2 Returns

Disputes regarding delivery discrepancies must be reported within five (5) days of the delivery date.

All returns require prior authorization from EKGAMER.MA. Returned products must be in their original packaging, unused, and accompanied by a return authorization number.

• Delivery errors must be reported within five (5) days after delivery.

• Defective products must be returned within ten (10) days after receiving a return authorization number.

EKGAMER.MA does not process return requests except in cases of delivery errors or defective products.

Article 7: Liability Disclaimer & Insurance

EKGAMER.MA is not responsible for:

1.   - Direct or indirect damages, whether material or immaterial.

2.   - Delays in delivery, missing items, or damages.

3.   - Non-compliance with Client requirements.

4.   - Any circumstances beyond EKGAMER.MA’s control.

The Client agrees to obtain all necessary insurance for any damages they may be liable for under these terms and to pay all related insurance fees.

Article 8: Pricing & Payment

8.1 Pricing

The price of products is based on the current rates displayed on EKGAMER.MA's website at the time of order placement.

If the Client qualifies for VAT exemption, they must provide an official tax exemption certificate at the time of ordering to be billed without VAT.

Prices are subject to change without prior notice and may be discounted. The final price payable is as listed on the invoice or order confirmation issued by EKGAMER.MA. Discounts granted to a Client can be modified or revoked for future orders.

8.2 Payment

Invoices must be paid upon delivery or pickup of the order.

Clients with an approved credit line from EKGAMER.MA will receive a grace period for payment. EKGAMER.MA reserves the right to modify or revoke credit lines and payment terms at any time, without notice, if payment deadlines are not met.

These conditions may be revised for each order, depending on the Client's creditworthiness. Disputes regarding product quality do not suspend payments unless the defect is proven, acknowledged, and verified by EKGAMER.MA before the payment deadline.

If a Client disputes an invoice, they must submit a written complaint via registered mail to Customer Service within 2 days of receiving the products.

8.3 Late Payment

According to Moroccan Law No. 32-10, which governs commercial payment deadlines, failure or delay in payment will result in:

• Immediate demand for all outstanding amounts, including invoices not yet due, regardless of the agreed payment method.

• Late payment penalties at a 10% annual rate on overdue invoices, charged automatically from the first day past the due date, with a minimum penalty of 500 MAD (excluding VAT).

• Debt collection fees set at 200 MAD (excluding VAT).

• Suspension of ongoing deliveries, with the Client bearing all resulting delays.

• Revocation of credit lines and extended payment terms.

Article 9: Order Cancellation

The Client must honor all confirmed orders.

If EKGAMER.MA accepts a cancellation, the Client agrees to pay a 5% cancellation fee based on the order amount.

An order can only be canceled:  a) By mutual agreement between both parties.  b) By EKGAMER.MA alone, if an invoice remains unpaid despite a formal payment request or if equipment is being repossessed under the ownership retention clause.

Article 10: Retention of Ownership

EKGAMER.MA retains ownership of all sold items until the Client fully pays the sale price for both current and future purchases.

If a Client fails to pay their invoice by the due date or makes a partial payment, EKGAMER.MA has the right to demand the return of the goods at the Client's expense, without prior formalities or legal proceedings.

Article 11: Applicable Law & Jurisdiction

These terms are governed by Moroccan law.

If any disputes cannot be resolved amicably, they will be handled by the Commercial Court of Marrakech.

مقتضيات عامة

البند 1: شركة EKGAMER متخصصة في بيع وشراء أجهزة الكمبيوتر وملحقاتها بالمغرب. 

البند 2: تحتفظ الشركة بحق تغيير أسعارها وتكاليف الشحن في أي وقت، ويتم إصدار الفاتورة بالمنتجات المطلوبة بالسعر السائد وقت تسجيل الطلب. 

البند 3: طريقة الشراء  

لتنفيذ الطلب، يجب على العميل اتباع الخطوات التالية:

- اختيار المنتج وخصائصه، إن أمكن.

- إدخال البيانات الأساسية للعميل (الهوية، العنوان...).

- اختيار طريقة التسليم.

- قبول شروط البيع العامة.

- اختيار طريقة الدفع. 

سيتلقى العميل تأكيدًا عبر البريد الإلكتروني أو الهاتف أو أي وسيلة أخرى لسداد ثمن الطلب، بالإضافة إلى إشعار يؤكد الطلب. 

سيتم تسليم الطلبية إلى العنوان المحدد من قبل العميل، ويتعهد العميل بتقديم بيانات حقيقية وكافية. 

البند 4: تحتفظ الشركة بحق رفض الطلب لأي سبب مشروع. 

البند 5: المخزون  

تتم معالجة الطلبات حسب توفر المخزون، وفي حالة عدم توفر المنتج، سيتم إبلاغ العميل بأقرب وقت ممكن. سيتم إعلامه بتاريخ التوفر أو اقتراح منتج بديل. 

البند 6: خدمة العملاء  

لمساعدتك في اختيار المنتجات المناسبة أو متابعة الطلبات، فإن خدمة العملاء متاحة عبر:

البند 7: استخدام موقعنا  

يخضع استخدامك لموقعنا للشروط والأحكام، لذا يرجى قراءتها بعناية لأنها تشمل شروطًا مهمة.  

يمكنك شراء منتجات من موقعنا فقط إذا كان عمرك يتجاوز 18 عامًا، وفي حالة كنت قاصرًا يجب أن تتم عملية الشراء بحضور ولي أمرك. 

البند 8: كيفية استخدامنا لمعلوماتك الشخصية  

يتم استخدام بياناتك وفقًا لسياسة الخصوصية، لذا يُرجى قراءتها بعناية حيث تتضمن أحكامًا مهمة.

شروط البيع العامة

المادة 1: تطبيق شروط البيع  

تحدد EKGAMER في هذه الصفحة الشروط العامة التي تنطبق تلقائيًا على جميع المبيعات الحالية والمستقبلية.  

موافقة العميل تعني استبعاد أي شروط أخرى للشراء، كما تحتفظ الشركة بالحق في تعديل شروط البيع دون سابق إنذار. 

المادة 2: المسؤوليات  

باعتبار EKGAMER متخصصة في هذا المجال، يتحمل العميل المسؤولية الكاملة عند اختيار المعدات والبرمجيات وفقًا لمواصفاتها التقنية. 

المادة 3: الطلبات  

الموافقة على طلبات المنتجات تتم عبر:

- تسليم المنتجات مع الفاتورة المرفقة.

- تأكيد الطلب وفقًا لشروط البيع.  

إذا كان المنتج غير متوفر أو تغير سعره، تحتفظ الشركة بحق إجراء تعديلات على الطلب، وسيتم إبلاغ العميل بذلك خلال يومين. عدم الرد خلال هذه الفترة يعني الموافقة الضمنية. 

المادة 4: التسليم  

التأخير في التسليم لا يمنح العميل أي تعويضات.  

الشركة غير مسؤولة عن أي أخطاء في العنوان المدلى به، وفي حالة عدم وجود العميل عند التسليم، لا تتحمل الشركة أي مسؤولية عن عدم الاستلام. 

المادة 5: الخدمات  

تبقى خدمات EKGAMER مقتصرة على توفير المعدات واللوازم، أما خدمات إعداد أو تشغيل البرمجيات، فهي خاضعة لرسوم إضافية. 

المادة 6: الضمان  

الضمان الوحيد المقدم من EKGAMER هو الضمان الممنوح من المصنعين، والشركة غير مسؤولة عن أي أضرار مباشرة أو غير مباشرة ناتجة عن الاستخدام الخاطئ. 

التعديلات أو الإضافات غير المطابقة للمواصفات تبطل الضمان. 

المادة 7: الإرجاع  

يجب على العميل الإبلاغ عن أي اعتراض خلال 5 أيام من تاريخ الاستلام.  

الإرجاع خاضع لاتفاق مسبق ويجب أن يكون المنتج في عبوته الأصلية وفي حالته الجديدة. 

المادة 8: الإعفاء من المسؤولية والتأمين  

الشركة غير مسؤولة عن أي ضرر مباشر أو غير مباشر ناتج عن تأخير أو فقدان أو قوة قاهرة.  

يتعهد العميل بتحمل المسؤولية الكاملة ودفع أقساط التأمين. 

المادة 9: السعر والدفع  

الأسعار بالدرهم المغربي وتشمل ضريبة القيمة المضافة 20%.  

تحتفظ EKGAMER بحق تعديل الأسعار في أي وقت، ويتم إصدار الفاتورة حسب السعر الساري وقت الطلب. 

الدفع يتم عند التسليم، وفي حالة التأخير، يترتب على العميل:

- دفع جميع المبالغ المستحقة.

- غرامة تأخير قدرها 10% سنويًا.

- إيقاف عمليات التسليم الجارية. 

المادة 10: إلغاء الطلبات  

لا يمكن إلغاء الطلب إلا بموافقة الطرفين.  

عند الإلغاء، يجب على العميل دفع 5% من قيمة الطلب. 

المادة 11: حق الملكية  

المعدات تبقى ملكًا لـ EKGAMER حتى يتم دفع المبلغ بالكامل، وفي حالة عدم السداد، يحق للشركة استرجاع المنتجات فورًا. 

المادة 12: القانون الواجب التطبيق  

أي نزاع سيتم البت فيه من خلال المحكمة التجارية بمراكش.
